1. Acceptance of Terms These terms of use are entered into between the user and Chicago Mercantile Exchange Inc. ("CME," "we," "our," or "us"). These terms and conditions, together with any documents expressly incorporated by reference (collectively "Terms of Use"), govern access and use of US-CMEGROUP.COM including any content, functionality offered through or on www.cmegroup.com and the Systems and Services ("Website" ), whether as a guest or registered user. By accessing, viewing or using any page, part or component of the Website, the user has indicated their acknowledgement and acceptance of these Terms of Use. 2. Important Notice Regarding Dispute Resolution By accessing or using the Website and accepting these Terms of Use, users and CME are agreeing to resolve any dispute between them arising out of or relating to (a) access or use of the Website or (b) the Terms of Use through a dispute resolution procedure described in Section 21. Users and CME waive the right to bring or participate in a class action in connection with such disputes. 3. Systems and Services "Systems" are any of the existing and future electronic systems, applications, APIs and platforms through which CME and its affiliates make the Services available, including, without limitation, Globex, CME Direct, CME One, Straight-Through Processing, CME Enterprise Fee System ("EFS") and ClearPort. "Services" are any of the existing and future services offered by CME or its affiliates, including execution, clearing, market data distribution, risk management, margin estimation, connectivity, trade confirmation, messaging, hosting and repository services, and any artificial intelligence ("AI") or machine learning-powered tools, such as chatbots and educational simulators. To create an account, users must be at least 18 years old and provide truthful and accurate information. 4. Updates CME may in its sole discretion make unscheduled deployments of changes, updates or enhancements to the Website at any time, add or remove functionality or features, and may discontinue the Website altogether. CME Group reserves the right to introduce new or enhanced services, including paid tiers or subscription models for its AI Tools or other features, at its sole discretion. 5. Violations CME may disable any user name, password, or other identifier, or modify, suspend or terminate operation of or access to the Website, at any time in its sole discretion for any or no reason, including if a user has violated any provision of these Terms of Use. 6. User Responsibilities Users are responsible for their use of the Website and must: • Use a secure and nonobvious password to access the Website • Treat the user name, password and any other security information as confidential and not share them with any other person • Notify CME immediately of any unauthorized access to or use of a user name or password or any other breach of security • Periodically change their password • Log out after each session • Install the most recent security patches and updates for their web browser • Not alter, corrupt, hack, or violate any computer code affecting the security and access controls of the Website 7. Restrictions Users agree that: • Usage of the Website will not violate any laws or interfere with the Website or any features on the Website • Users may not upload to the Website any information which contains viruses, Trojan horses, worms, time bombs or other malicious code •Users may not use the Website for any purpose that is unlawful or prohibited by these Terms of Use •Users may not take any malicious action that imposes a large load on the infrastructure of the Website •Users may not attempt to gain unauthorized access to any portion or feature of the Website •Use of any data, databases, or content on the Website for machine learning and/or artificial intelligence purposes, including training AI models, is expressly prohibited 8. Privacy All information collected on the Website is handled in accordance with CME Group's Privacy Notice. Users may have certain rights in relation to the information collected under applicable law. 9. Proprietary Rights The Website and its entire contents, features, and functionality are owned by CME, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. 10. Disclaimer of Warranties NEITHER CME NOR ANY AFFILIATE OF CME NOR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, CONSULTANTS OR LICENSORS MAKE ANY REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE WEBSITE AND EACH HEREBY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION TO THE NON-INFRINGEMENT, QUALITY, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE WEBSITE IS PROVIDED ON AN "AS IS" BASIS AT THE USER'S SOLE RISK. 11. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF ANY CME GROUP ENTITY HEREUNDER EXCEED THE LESSER OF: (A) THE FEES PAID TO CME BY THE USER IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) FIFTY US DOLLARS ($50). 12. Governing Law These Terms of Use shall be governed by and construed in accordance with the federal laws of the United States, without regard to conflicts of laws principles. The language of the Terms of Use is English. 13. Informal Dispute Resolution & Arbitration Any controversy or claim arising out of or relating to access or use of the Website or these Terms of Use shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The place of arbitration shall be Chicago, Illinois. Class action lawsuits, class-wide arbitrations, private attorney-general actions, and any other proceeding where someone acts in a representative capacity are not allowed. 14. Modification of Terms CME may, in its sole discretion, change or update these Terms of Use at any time with or without notice. Continued use of the Website after any such changes will indicate acceptance of the amended Terms of Use.
